Terms and Conditions

Purpose:

This document constitutes an adhesion contract for the use of the website https://haciendasanjoselavista.com (hereinafter the «Website») entered into by, on one hand, Viñedos San Jose Lavista S.A. de C.V. and Bodegas San Jose Lavista S.A. de C.V. (hereinafter Hacienda San Jose Lavista), as the party responsible, and on the other, the User, both parties being bound by the provisions set forth in this document.

Acceptance of the terms and conditions:

By entering and using this internet portal, identified by the domain name https://haciendasanjoselavista.com, owned by Hacienda San Jose Lavista, the User accepts the Terms and Conditions of Use contained in this contract and expressly declares acceptance using electronic means for such purpose, pursuant to the provisions of article 1803 and other related articles of the Federal Civil Code.

For the purposes of this contract, the parties agree that «User» shall mean any person of any nature who accesses the website https://haciendasanjoselavista.com and/or any of the subpages that display its content and/or the person of any nature who registers and/or uses any of the services offered through said website.

If the User does not absolutely and completely accept the Terms and Conditions of this contract, the User must refrain from accessing, using and viewing the Website and/or any other service offered by Hacienda San Jose Lavista.

If the User accesses, uses and views the Website, this will be considered as an absolute and express acceptance of the Terms and Conditions of Use stipulated herein, the other documents incorporated therein by reference, as well as the applicable laws and regulations in accordance with current legislation for the use of the Website.

Hacienda San Jose Lavista will not keep an individualized copy of this agreement entered into between the User and the Company, so the User is advised to keep a copy of these Terms and Conditions of Use for their own records.

If the User violates what is stated in these Terms and Conditions of Use, Hacienda San Jose Lavista may cancel its use, as well as exclude the User from future transactions, and/or take the legal action it deems appropriate for its interests.

The User and Hacienda San Jose Lavista agree that:

• To use the Website, the User must be at least 18 years of age or be accessing it under the supervision of a parent or legal guardian.
• Hacienda San Jose Lavista grants a non-transferable and revocable license to use the Website, under the Terms and Conditions of Use described, for the purpose of purchasing personal items sold on said Website. • Each User of the site is solely responsible for keeping passwords and other account identifiers secure. The account holder is fully responsible for all activities that occur under their password or account. Furthermore, the User must notify the Company of any unauthorized use of their password or account. In no way will Hacienda San Jose Lavista be responsible, directly or indirectly, for any loss or damage of any kind incurred as a result of the User’s failure to comply with this section.
• During the registration process, the User agrees to receive promotional emails from tienda.haciendasanjoselavista.com. However, the User may later opt out of receiving such promotional emails by clicking the link at the bottom of any promotional email.
• the Company for any unauthorized use of their password or account. In no way will Hacienda San Jose Lavista reserves the right to block access to or remove, in whole or in part, any information, communication or material that, in its sole judgment, may be: i) abusive, defamatory or obscene; ii) fraudulent, deceptive or misleading; iii) in violation of copyright, trademark, confidentiality, trade secrets or any third party intellectual property right; iv) offensive or; v) that in any way contravenes the provisions of this contract.
• Hacienda San Jose Lavista does not presume that the content of its Website may be legally viewed outside of the United Mexican States. Access to the content may not be legal for certain persons or in certain countries. If the User accesses the content from outside the United Mexican States, they do so at their own risk and are responsible for compliance with the laws within the jurisdiction in which the User is located.
• Users are prohibited from violating or attempting to violate the security of the Website and of the affiliated Websites of Hacienda San Jose Lavista; the User is prohibited from: (a) accessing data to which the User is not authorized to use or logging into a server or account for which the User does not have authorized access; (b) attempting to examine, scan or test the vulnerability of a computer system or network or breach security or authentication measures without proper authorization; (c) attempting to interfere with the use of any other User, hosting service or network, including, without limitation, transmitting a virus to the Website or to Hacienda San Jose Lavista’s affiliated websites; causing an overload of such sites through «flooding,» «spamming,» «mailbombing» or «crashing»; (d) sending unsolicited emails, including promotions and/or advertising of products or services, or; (e) falsifying any TCP/IP packet header or any part of the header information in any email or newsgroup posting.
• The User acknowledges that violations of the computer system or network security may give rise to civil or criminal liability. Hacienda San Jose Lavista will investigate situations that may involve such violations and reserves the right to report such actions to the authorities; the Company will cooperate with the competent authority in the investigation of such violations under the terms established in applicable legislation.
• For proper access to the Website, Users must have the necessary equipment and facilities for their internet connection (computer, telephone, modem, programs, etc.), the use of this equipment being entirely their own responsibility.
• Hacienda San Jose Lavista is exempt from any liability arising from interruptions or suspensions of internet access service caused by failures in the telecommunications system, in the electric power supply, acts of God or force majeure, or actions by third parties that may disable the equipment that provides access to the network.
• For the foregoing reason, Hacienda San Jose Lavista is not responsible for any damage, harm or loss to the User caused by failures in the system, the server or the Internet. The Company will also not be responsible for any virus that may infect the User’s equipment as a result of accessing, using or examining the Website or as a result of any transfer of data, files, images, text, or audio contained therein. Users may NOT hold the Company liable in any way or demand payment of damages, by reason of technical difficulties or failures in the systems or the Internet. Hacienda San Jose Lavista does not guarantee continuous or uninterrupted access to and use of the Website. The system may occasionally be unavailable due to technical difficulties or Internet failures, or for any other circumstance beyond the Company’s control; in such cases, efforts will be made to restore it as quickly as possible without this giving rise to any type of liability. Hacienda San Jose Lavista will not be responsible for any error or omission contained on the Website.

Industrial and intellectual property and copyright:

Hacienda San Jose Lavista acknowledges being the sole owner of the intellectual property rights, whether registered or unregistered, on the site tienda.haciendasanjoselavista.com, including but not limited to: projects, software, source code, graphics, photographs, videos, images, music, sound, texts, logos, trademarks, domain names, trade names and data included on the Website tienda.haciendasanjoselavista.com. The entire content of our website is also protected by copyright as a collective work under Mexican copyright laws and international conventions. All rights reserved.

Users are advised that such rights are protected by current Mexican and international legislation relating to intellectual and industrial property and copyright.

The copying, reproduction, adaptation, modification, distribution, marketing, licensing, transmission, disclosure, public communication and/or any other action that infringes current Mexican or international legislation on intellectual and/or industrial property, as well as the use of the Website’s content without prior express written authorization from Hacienda San Jose Lavista, is prohibited.

If the User transmits to Hacienda San Jose Lavista any information, programs, applications, software or, in general, any material that requires licensing through the Website tienda.haciendasanjoselavista.com, the User hereby grants Hacienda San Jose Lavista a perpetual, universal, free, non-exclusive, worldwide and royalty-free license, which includes the rights to sublicense, sell, reproduce, distribute, transmit, create derivative works, and publicly display and perform them.

The provisions of the preceding paragraph shall also apply to any other information that the User sends or transmits to Hacienda San Jose Lavista, including, without limitation, questions, criticism, comments and suggestions to renew or improve the Website, whether these have been included in any area of the aforementioned website or through other known means or modes of transmission or those developed in the future. In addition, when the User submits comments or criticism to the website, they also grant Hacienda San Jose Lavista the right to use the name that the User submits, within the framework of said review, comment, or any other content.

For the foregoing reason, the User hereby expressly waives the right to take any action, claim or demand against Hacienda San Jose Lavista, its affiliates or suppliers for any actual or potential violation of any copyright or intellectual property arising from the information, programs, applications, software, ideas and other material that the User sends to the website tienda.haciendasanjoselavista.com.

If the User believes that any content published on the Website infringes intellectual or industrial property rights, the User may make a notification by contacting Hacienda San Jose Lavista’s Customer Service center. The User will need to provide: i) truthful personal information (name, address, telephone number and email address of the claimant); ii) handwritten signature with the personal information of the holder of the intellectual property rights; iii) precise and complete identification of the protected content(s) allegedly infringed by intellectual property rights, as well as the location of said violations on the referenced website; iv) an express and clear statement that the introduction of the indicated content(s) was made without the consent of the holder of the allegedly infringed intellectual property rights; v) an express, clear statement, made under the claimant’s responsibility, that the information provided in the notification is accurate and that the introduction of the content(s) constitutes a violation of said rights.

The User acknowledges and agrees that some parts of the Website may contain information, images, advertisements and other advertising or promotional material from third party sponsors and advertisers (hereinafter «Advertising Material»). Advertisers and sponsors are responsible for ensuring that the Advertising Material submitted for inclusion on the Website complies with the relevant laws and regulatory codes. Hacienda San Jose Lavista is not responsible for any error or inaccuracy in the advertising materials.

Likewise, the User hereby acknowledges and agrees that said Advertising Material is protected by applicable intellectual and industrial property laws.

Warranty of purchased products:

Hacienda San Jose Lavista acts as a distributor of manufacturers or wholesale distributors who guarantee that the products marketed on the website tienda.haciendasanjoselavista.com function correctly and do not present defects or hidden flaws that could make them dangerous or unsuitable for normal use. Notwithstanding the foregoing, the use each User makes of the products is their sole responsibility, without any liability on the part of Hacienda San Jose Lavista.

The duration of the contractual warranty is clearly detailed on each item’s product page and is issued and backed by the manufacturer or supplier of each product.

No User may request a broader warranty than the one indicated therein. In such cases, Hacienda San Jose Lavista will not be obligated to honor said warranties, nor to collect the damaged product(s).

The warranty will lose validity in the event of defects or deterioration caused by external factors, accidents, particularly electrical accidents, wear, improper use, or installation and use not in accordance with the supplier’s or manufacturer’s instructions.

Products transported, modified or repaired by the User or any other person not authorized by Hacienda San Jose Lavista are excluded from the warranty. The warranty will not apply to apparent defects and non-conformities in the product, for which any claim must be made by the User in question within the 7 calendar days following delivery of the products.

Product information:

The information given about each product, as well as the photographs or videos related to them and the trade names, trademarks or distinctive signs of any kind contained on the Hacienda San Jose Lavista Website, are presented for guidance purposes only. Hacienda San Jose Lavista is not responsible for any error or inaccuracy in the product information.

Credits and promotions:

Hacienda San Jose Lavista will inform Users subscribed to the newsletter, by email, of all future promotions and opportunities, with their respective dates and conditions.

Promotions will have specific terms and conditions, and Users interested in participating will be responsible for reading and understanding these terms and conditions.

Hacienda San Jose Lavista coupons cannot be combined with other coupons from the same store.

Credits generated by Hacienda San Jose Lavista’s promotional actions (coupons, etc.) may be exchanged exclusively for physical products sold on the Website tienda.haciendasanjoselavista.com. Credits may not be exchanged for other credits.

Purchase of products:

In order to purchase products, the User must pay for the selected products, taxes and shipping costs through the payment service providers that Hacienda San Jose Lavista makes available to the User on the Website. The User may only purchase products through the Website for delivery to an address within the territory of the United Mexican States.

Once the purchase has been made by the User, through implicit acceptance of the Terms and Conditions of Use, Hacienda San Jose Lavista will send an email to the User informing them of the details of the purchase made.

Payment

Payment for products purchased on the Website may be made through any of the payment methods offered by the Website, including, among others: credit card, debit card, payment at OXXO. The list of payment methods offered may be subject to modification at any time without prior notice to Users.

Payment by credit card or any other online payment method must be made on the Website.

The order number assigned when completing a transaction on the Website does not imply acceptance of the transaction. In the event of any problem with an order, the User will be contacted by email or telephone.

Hacienda San Jose Lavista will send purchase confirmation via email. Only after payment confirmation will the products be released for delivery to the delivery address indicated by the User.

Hacienda San Jose Lavista reserves the right to request official documents from its customers, as a means of validating the product acquisition process through the Website.

In the event of a chargeback dispute by the corresponding Banking Institution regarding charges made by the User via credit card and arising from transactions carried out on the Website, Hacienda San Jose Lavista reserves the right to initiate the corresponding legal actions and pursue criminal or civil liability as appropriate, or of any other nature, as well as to take all internal actions that may range from charging the User’s credit card again to the permanent removal of the User from the Website, for which prior authorization from the User will not be required.

Order acceptance and prices

All prices for products indicated on the Website include VAT and any other applicable taxes. However, these prices do not include shipping costs, which will be detailed separately in each order and must be accepted and paid, prior to shipment, directly and exclusively by the User.

The User must take into account that there are cases in which an order cannot be processed for various reasons. In this regard, Hacienda San Jose Lavista reserves the right to deny or cancel any order for any reason, at any time. In addition, it should be clear that the User may be asked for additional information, even before the order is accepted.

Hacienda San Jose Lavista will provide the most accurate pricing information for Users, however, certain errors may still occur, such as cases in which an item’s price is not displayed correctly on the Website. As such, the Company reserves the right to deny or cancel any order. In the event that the price of an item is incorrect, Hacienda San Jose Lavista may, at its discretion, contact the User to request instructions or cancel the order and will notify the User of such cancellation. It should be noted that Hacienda San Jose Lavista will have the right to cancel such orders, whether or not the order has been confirmed and paid for.

Product availability

All products offered on the Website are subject to stock and availability, so delivery time may vary with prior notice from us, or the order may even be canceled and the User’s charges refunded, as applicable.

If the delivery time offered is not entirely satisfactory to the User, cancellation of the order may be requested.

Product shipping costs

Hacienda San Jose Lavista will ship the products purchased by the User to the address specified by the User for this purpose, provided that said address is within the coverage area communicated by Hacienda San Jose Lavista.

The delivery time begins from the confirmation of payment by the bank, online payment platform, or Credit department of Hacienda San Jose Lavista.

Products will be shipped and delivered to the User by third parties (hereinafter «Shipping Companies»). By virtue of the foregoing, the User agrees to be bound, for the shipment and delivery of products, by the delivery policies of the Shipping Companies, which are incorporated by reference into these Terms and Conditions of Use.

The timeframe described on the Website is an estimate. As such, this timeframe may change for logistical reasons and force majeure. In the event of any fortuitous event or force majeure that may delay delivery of products purchased on the Website, Hacienda San Jose Lavista will at all times be exempt from any liability.

If the User has not received the products within the timeframe stated by Hacienda San Jose Lavista, the User must contact the Company through the customer service center.

The shipping cost will be added to the value of the goods purchased and will be calculated and communicated to the User prior to purchase confirmation. The shipping cost may depend on factors such as the total weight of the goods, distance and type of delivery, and may be modified by Hacienda San Jose Lavista at any time without prior authorization from the User.

Upon delivery, the person receiving the goods will be asked for official identification (voter ID, passport, FM2 immigration form or driver’s license), so it is required to have this document on hand at delivery of the purchase.

Hacienda San Jose Lavista suggests that the User verify the integrity and quality of the products received at the time of delivery. If the User is not satisfied with the products, they are asked not to accept delivery from the Shipping Company and to immediately contact Hacienda San Jose Lavista’s customer service center.

Cancellation of product purchase

The User may cancel a purchase of Products made through the Website, provided that the purchased Products have not left Hacienda San Jose Lavista’s offices. If the Products have already been shipped by Hacienda San Jose Lavista, the User may not cancel the purchase made, and must follow the procedure set forth in the «Returns» section of these Terms and Conditions. The User may check the status of the purchase made through the My Orders section of the User Account or by contacting Hacienda San Jose Lavista’s customer service center. In the event of cancellation of the purchase by the User, the amount paid by the User will be refunded in accordance with the «Refunds» section of these Terms and Conditions.

RETURNS

Return Conditions:

The User may return products purchased through the Website, provided that:

1. The return is requested within the 7 calendar days following the delivery date OR, exclusively for cases of defective products, within the warranty period specified for the purchased products.
2. The product(s) are in the same condition in which they were delivered to the User and are, to the extent possible, in their original packaging and labeling, or alternatively in a similar format that guarantees the return in perfect condition.

Return Process:

The process for returning Products will be as follows:

1. The User must contact Hacienda San Jose Lavista’s customer service center within the established timeframe requesting the return of the products and providing first and last name, order number, names of products to be returned, and the address at which the products will be picked up. If the return is due to the product(s) being defective or being a different product than the one purchased through the Website, the User must also state this circumstance, as well as mention, if applicable, the defects of the products (hereinafter the «Return Request»).
2. Once the Return Request has been approved, Hacienda San Jose Lavista may send the User a shipping label through the corresponding Shipping Company, as well as schedule the date on which the Shipping Company will pick up the products from the address provided by the User.
3. If applicable, the User must package the product in its original box or packaging, print and provide the shipping label, and deliver the Products in their original packaging or box to the Shipping Company on the scheduled date for that purpose.

Refunds

If payment was made by debit or credit card, the refund will be made through a chargeback to the same card that was used. If payment was made by other means, the refund will be made through a bank transfer to the User’s account.

The User will be refunded the cost of the returned products plus the shipping cost paid by the User for them.

Hacienda San Jose Lavista is not and will not be responsible for expenses caused by returns made without following the steps established in the procedure set forth in the «Returns» section.

Timeframe for refunds in case of cancellation

In the event of cancellation of a purchase made by the User in accordance with the «Cancellation of product purchase» section of these Terms and Conditions, Hacienda San Jose Lavista must request the refund to the User for the full amount paid by the User within the 7 calendar days following the date of cancellation of the User’s purchase.

Timeframe for refunds in case of return

Once the products returned by the User have been received, Hacienda San Jose Lavista will inspect the returned products.

If the products received by Hacienda San Jose Lavista meet the characteristics established in point 2 of the «Return Conditions» section, the Company will be obligated to refund the money paid by the User within the 7 calendar days from the day Hacienda San Jose Lavista received the returned products.

User responsibility regarding transactions

The User assumes responsibility for all costs, fees, taxes and claims arising from the use of this Website. The access data provided to the User for their profile have been designed exclusively for personal use, and must be treated confidentially. The User must change their passwords regularly. All transactions carried out through the profile account will be attributed to the holder of the relevant profile account, and will be binding.

The User is responsible, without limitation, for direct and indirect damages, as well as consequential damages, that may be caused by gross negligence or unlawful intent.

Billing policies

The User must send a billing request to the Company’s customer service center within 24 hours of the purchase being made. Invoice requests for purchases outside this timeframe will not be processed.

When requesting an invoice, the User will need to have on hand and provide the following tax requirements:

• RFC with Homoclave
• Full name or company name
• Complete tax address including street, neighborhood, borough or municipality, state and postal code
• Method of payment used (cash, electronic funds transfers, personal checks or debit, credit, service cards or so called electronic wallets authorized by the Tax Administration Service)
• Indicate at least the last 4 digits of your payment account
• Email address where the invoice will be sent
• Once the corresponding invoice has been issued, *Trade Name* may not re-invoice or issue subsequent invoices.

Restrictions for minors

Hacienda San Jose Lavista does not intentionally sell to minors, so parents and guardians are advised to carry out product purchase or Website registration activities themselves.

Parents or guardians of minors will be responsible for acts carried out by them in accordance with the provisions of these Terms and Conditions of Use, including damages caused to third parties, actions carried out by them that are prohibited by law and by the provisions of this agreement, without prejudice to the User’s liability, provided that the User is not the parent or legal representative of the minor offender.

Liability

The User hereby agrees to indemnify and hold harmless Hacienda San Jose Lavista and its subsidiaries, holding company, shareholders, officers, employees, executives, directors and agents from any actions, proceedings, liabilities, claims, losses, liabilities, damages, costs, expenses and costs, as well as the expenses, costs and fees of attorneys and external advisors arising from or related to the User’s violation of: (i) these Terms and Conditions, and/or (ii) any applicable laws, rules, decrees or regulations.

Hacienda San Jose Lavista reserves the right to assume the defense and control of any matter or claim that involves or could involve the payment of compensation associated with a breach by the User. The User agrees to cooperate with Hacienda San Jose Lavista in developing relevant defenses.

Modifications to the site www.haciendasanjoselavista.com

Hacienda San Jose Lavista may at any time and whenever it deems convenient, without needing to notify the User, make corrections, additions, improvements or modifications to the content, presentation, information, services, areas, databases and other elements of said site, without this giving rise to any right of claim or compensation, nor implying any acknowledgment of liability in favor of the User.

Term, termination and modification of the terms and conditions of use

The Company, as well as the User, acknowledge that the Terms and Conditions are of unlimited duration, and will take effect upon their publication on the Website.

Hacienda San Jose Lavista reserves the right to make alterations to this document without prior notice. For this reason, Hacienda San Jose Lavista recommends that the User read this document regularly, so as to always stay informed of any modifications. Alterations to the contract will become effective immediately upon their publication on the Website. Once modifications have been made, it will be presumed that the User who continues to use the Website has full knowledge of, has read and has consented to the amended Terms and Conditions. If the User does not accept the modified terms and conditions, they must stop using the Website.

Hacienda San Jose Lavista may at any time suspend access to the Website and/or terminate these Terms and Conditions. Termination of these Terms and Conditions will in no case imply that Hacienda San Jose Lavista must compensate the User.

Survival

These Terms and Conditions of Use, together with any additional terms, constitute the entire agreement between the parties, and supersede any other agreement or contract previously entered into. Any clause or provision of this contract, as well as of the additional terms, legally declared invalid, will be removed or modified at Hacienda San Jose Lavista’s discretion, in order to correct its defect. However, the remaining clauses or provisions will retain their force, binding nature and validity.

Additional terms

Hacienda San Jose Lavista may occasionally review, update and/or add additional provisions to the Terms and Conditions of Use of this contract relating to specific areas or new services provided on or through the Website tienda.haciendasanjoselavista.com, which will be published in the specific areas or new services of said site for reading and acceptance. The User acknowledges and agrees that such additional terms form an integral part of this contract for all legal purposes that may apply.

Applicable law and jurisdiction

These Terms and Conditions of Use will be interpreted and governed by the laws in force in Mexico, Mexico City, waiving the application of the United Nations Convention on Contracts for the International Sale of Goods.

Assignment of rights

The rights granted to the User must be considered personal rights, and the User may not assign or transfer them, nor authorize any third party to use them in any way. Hacienda San Jose Lavista may assign, in whole or in part, its rights and/or obligations to any third party, subsidiary or holding company of Hacienda San Jose Lavista without prior authorization from the User. By virtue of such assignment, Hacienda San Jose Lavista will be released from any obligation in favor of the User established in this contract.

No waiver of rights

Inaction on the part of Hacienda San Jose Lavista, its affiliates or suppliers regarding the exercise of any right or action arising from this contract shall not at any time be interpreted as a waiver of said rights or actions.

Indemnification

The User agrees to indemnify Hacienda San Jose Lavista, its affiliates, suppliers, vendors and advisors for any action, claim or demand (including attorneys’ fees and court costs) arising from any breach by the User of this agreement; including, without limitation, those arising from:

1. Any aspect relating to the use of the website tienda.haciendasanjoselavista.com.
2. The information contained or available on or through said Website or from insults, defamation or any other conduct violating this contract by the User in the use of the aforementioned Website.
3. The violation of applicable laws or international treaties relating to copyright or intellectual property, contained or available on, or through said Website.

Other

If any provision established in these Terms and Conditions is illegal, void or unenforceable in any jurisdiction, it will not affect: (i) the legality, validity or enforceability in said jurisdiction of any other provision of this agreement; or (ii) the legality, validity or enforceability in any other jurisdiction of said or any other provision of this agreement.
